NSD Announces Results of Supervisory Board Meeting

On 30 May 2019, after the annual general meeting of shareholders of National Settlement Depository (NSD), Russia’s central securities depository, a first meeting of the newly elected Supervisory Board was held.

Bella Zlatkis, Deputy Chairman of the Executive Board, PJSC Sberbank, was re-elected as Chairperson of NSD’s Supervisory Board. Ilya Yuzhanov, independent director, was elected as Deputy Chairman of NSD’s Supervisory Board.

The Supervisory Board also made the following decision:

  • To approve the appointment of Ilya Yuzhanov, independent director, as chairman of the Nomination and Remuneration Committee of the Supervisory Board;
  • To approve the appointment of Maxim Lapin, CFO, Moscow Exchange, as chairman of the Budget Committee of the Supervisory Board;
  • To approve the appointment of Paul James Ostling, independent director, as chairman of the Audit Committee of the Supervisory Board;
  • To approve the appointment of Alexander Izosimov, CEO, DRCAdvisors AB, as chairman of the Technological Policy and Development Committee of the Supervisory Board;
  • To approve the appointment of Paul Anne F. Bodart, member of NSD’s Supervisory Board, as chairman of the Strategy Committee of the Supervisory Board.

The chairmen were authorized to submit lists of candidates for the respective Committees to the Supervisory Board by 15 June 2019.

The Supervisory Board formed a temporary committee which included the following members of the Supervisory Board:

  • Nadezhda Ushakova (chairperson of the temporary committee);
  • Eddie Astanin;
  • Mikhail Bratanov;
  • Andrey Popov.

The temporary committee’s task is to nominate candidates for the Customer Committee (CSD Customer Committee) of NSD and to submit the proposals to the Supervisory Board for further approval.

The Supervisory Board set the amount of remuneration for services of NSD’s auditor for auditing NSD’s annual financial (accounting) statements for 2019, including RAS and IFRS statements, as well as for reviewing NSD’s interim financial statements (according to IFRS) for H1 2019.
