To: Depositors of NSD
NSD, in accordance with the Board Resolution dated July 3, 2025, hereby announces the extension, from July 1, 2025, through December 31, 2025, inclusive, of previously adopted decisions for the following marketing periods, during which the following fees will be waived:
- for services related to a securities holder’s participation in corporate actions, pursuant to paragraphs 5.2–5.5 of the NSD Fee Schedule for Depository Services, provided all of the following conditions are met simultaneously:
- securities transactions are concluded with non-resident investors, under which non-resident investors will have the right to sell securities of Russian issuers as part of a purchase offer made by a resident issuer;
- securities transactions are carried out on the basis of a permit from the Government Commission for Control over Foreign Investment in the Russian Federation, issued for the implementation of additional temporary economic measures to ensure the financial stability of the Russian Federation, and/or other permits provided for by individual Decrees of the President of the Russian Federation (hereinafter – Government Commission Permit), and/or on the basis of a special Decree of the President of the Russian Federation issued in accordance with Presidential Decrees (hereinafter – Special Presidential Decree);
- the client has submitted to NSD, no later than the last business day of the reporting month, a list of corporate action instructions falling under the specified marketing period (hereinafter – CA), including mandatory details:
- instruction number and date for CA,
- CA reference,
- date of the Government Commission Permit and/or date of the Special Presidential Decree.
- for services for the acceptance of foreign securities for storage and/or record-keeping using foreign depository services, excluding depositories of CIS countries, on FOP and DVP terms (paragraphs 12.1 and 12.2 of the NSD Fee Schedule for Depository Services).
- for services for the withdrawal of foreign securities from storage and/or record-keeping using foreign depository services, excluding depositories of CIS countries, on FOP and DVP terms (paragraphs 13.2 and 13.3 of the NSD Fee Schedule for Depository Services).
- for services for the transfer of shares from/to a depot account section of the “Securities Presented under Depositary Programs” type, for their subsequent crediting to the depot account instructed by the depositor, to which the shares are to be credited (paragraph 4.8 of the NSD Fee Schedule for Depository Services).
- for services for the transfer of securities of foreign issuers, the performance of obligations for which is governed by the legislation of the Russian Federation, including regulatory acts of the Bank of Russia and resolutions of the Bank of Russia Board of Directors, and official clarifications of the Bank of Russia (paragraph 15.1 of the NSD Fee Schedule for Depository Services) for transactions involving such securities between a Controlled Foreign Company (CFC), a friendly non-resident – on one side, and an unfriendly non-resident – on the other side:
- the transfer is carried out against reciprocal instructions from the depositor-sender (or account/section operator) and the depositor-receiver of securities (or account/section operator) without monetary settlement (operation code 16 and 16/1) (including for operations involving “Type C” depot accounts) with the following indicated in the “Additional Information” field of the instruction: “Transfer of foreign securities, performance of obligations governed by Russian legislation”.
- for servicesfor the transfer of securities of Russian and/or foreign issuers resulting from securities transactions (paragraphs 4.1. and/or 15.1 of the NSD Fee Schedule for Depository Services) provided the following conditions are met:
- transfer of securities of Russian and/or foreign issuers resulting from transactions based on permits issued by the Government Commission for the implementation of additional temporary economic measures to ensure the financial stability of the Russian Federation and other permits provided for by individual Decrees of the President of the Russian Federation, and/or on the basis of a Special Decree of the President of the Russian Federation.
- transfer is carried out against reciprocal instructions from the depositor-sender (or account/section operator) and the depositor-receiver of securities (or account/section operator) without monetary settlement (operation code 16 and 16/1) (including for operations involving “Type C” depot accounts) upon presentation of the Government Commission Permit and with the following indicated in the “Additional Information” field of each instruction: “Transfer on the basis of the Government Commission Permit dated (date)” and/or “Transfer on the basis of the Russian Federation Presidential Decree dated (date)”. Such indication constitutes a representation by the depositor that it holds a Government Commission Permit* and/or a Special Decree of the President of the Russian Federation authorizing the securities transactions for which the transfer is being made.
And/or - transfer of securities is carried out within a single depot account upon the depositor’s instruction (operation code 20). The client has submitted to NCO JSC NSD, no later than the last business day of the reporting month, a list of depositor instructions (operation code 20) falling under the specified marketing period:
- instruction number and date,
- date of the Government Commission Permit and/or date of the Special Presidential Decree.
And/or - transfers of securities between depot accounts upon the depositor-sender’s instruction without confirmation from the depositor-receiver of securities (operation code 10), with the following indicated in the “Additional Information” field of the instruction: “Transfer on the basis of the Government Commission Permit dated (date)” and/or “Transfer on the basis of the Russian Federation Presidential Decree dated (date)”. Such indication constitutes a representation by the depositor that it holds a Government Commission Permit and/or a Special Decree of the President of the Russian Federation authorizing the securities transactions for which the transfer is being made.
- for services for the transfer of securities of Russian and/or foreign issuers (paragraphs 15.1 and 4.1 of the NSD Fee Schedule for Depository Services) with transfer of ownership resulting from transactions where one party is a resident, and the other is a resident or friendly non-resident, or a Controlled Foreign Company (CFC). provided the following conditions are met:
- Transfer of securities of Russian and/or foreign issuers ISINs of which are specified in:
- official information provided to NSD by a resident owner of securities (shares) of a Russian issuer or another person exercising rights to securities (shares) of a Russian issuer, containing information about a public offer (invitation to make offers) from such resident owner of securities (shares) of a Russian issuer or another person exercising rights to securities (shares) of a Russian issuer to shareholders of a foreign issuer for concluding transactions aimed at exchanging shares (securities) of a foreign issuer for shares (securities) of a Russian issuer,
And - public offer (invitation to make offers) from such resident owner of securities (shares) of a Russian issuer or another person exercising rights to securities (shares) of a Russian issuer to shareholders of a foreign issuer for concluding transactions aimed at exchanging shares (securities) of a foreign issuer for shares (securities) of a Russian issuer
- Transfer of securities of Russian and/or foreign issuers is carried out:
- upon clearing results following trading in execution of purchase/sale transactions for securities (shares) concluded at PJSC Moscow Exchange, the ISINs of which are specified in the information provided pursuant to item 1 of the marketing period conditions (operation code 14 – Transfer following clearing results from trading).
And/or - against reciprocal instructions from the depositor-sender (or account/section operator) and the depositor-receiver of securities (or account/section operator), in which the “Additional Information” field indicates: “transfer of securities under a public offer/invitation from a resident person exercising rights to securities of a Russian issuer”, without monetary settlement (operation code 16 and 16/1); and if the depositor-sender and depositor-receiver of securities are the same person – upon instruction from the depositor-sender (operation code 10)
The aforementioned marketing periods apply on the condition that operations conducted in accordance with this notice comply with the requirements of the legislation of the Russian Federation, regulatory acts of the Bank of Russia and the Bank of Russia Board of Directors, and official clarifications of the Bank of Russia.
